Terms of Use

Welcome to Holdwell
These Terms of Use are an agreement between you and Holdwell LLC ("Holdwell," "we," "us"). They cover the Holdwell app and anything we offer with it. By creating your profile or using Holdwell, you agree to these Terms and to our Privacy Policy. If you don’t agree, please don’t use Holdwell.
Please read the sections called "Health and wellness," "Limits on our responsibility" and "Settling disagreements." They affect your rights, including how disagreements are resolved.
You must be 18 or older
Holdwell is only for adults 18 and older. By using Holdwell you confirm that you are at least 18. If you are under 18, please do not use Holdwell.
What Holdwell is, and what it isn’t
Holdwell is a personal organizer. It helps you keep track of your days, your people, your home and your goals, and offers encouragement along the way.
Holdwell is not a medical, mental health, legal, financial, tax or other professional service, and nothing in Holdwell is professional advice. Holdwell is not an emergency service. In an emergency, call 911. If you are in crisis or thinking about hurting yourself, call or text 988 (the Suicide & Crisis Lifeline, in the US).
Health and wellness
Some parts of Holdwell touch on wellness: energy and cycle planning, the calm space, routines, habits, challenges, and tools for pregnancy and babies. These are for general wellness and organizing only. They do not diagnose, treat, cure or prevent any condition.
Energy and cycle estimates are only estimates, based on what you enter. They can be wrong. They cannot confirm or prevent pregnancy and must never be used as birth control or to plan or avoid a pregnancy.
Talk to your doctor before starting any new exercise, eating, sleep or wellness plan, including any challenge in Holdwell, and about any question about your health, your pregnancy or your child’s health. Never ignore professional medical advice or delay getting it because of something you saw in Holdwell.
Reminders are a helper, not a guarantee
Holdwell’s reminders, alarms, briefs and notifications depend on your phone, its settings, its battery and its software, and they can be late, silenced or missed. Do not rely on Holdwell for anything where a missed reminder could cause harm, such as medications, medical care, a child’s pick-up or care, legal or tax deadlines, or bill payments.
Check what Holdwell reads for you
Features like Snap a flyer and Brain dump read text and turn it into events and to-dos automatically. They can misread dates, times and details. Please check anything Holdwell adds before you rely on it.
Money tools
Bills, envelopes, savings jars and similar tools only keep track of what you enter. Holdwell does not connect to your bank, does not move money, and does not give financial advice. You are responsible for paying your bills and managing your money.
Your information stays on your phone
Holdwell saves what you enter on your phone. You own it. We don’t have a copy, which means we cannot restore it if your phone is lost, damaged or reset, or if you delete Holdwell. Keeping your phone backed up and protected with a passcode is up to you.
Energy and cycle information is locked to this phone. It is not synced to iCloud and cannot be moved or restored to a different phone, so it will not come with you if you switch phones.
The My Vault is meant for everyday details like sizes, doctors and door codes. Please don’t store Social Security numbers, bank or card numbers, or account passwords in Holdwell.
When you choose to share something from Holdwell (for example, sending your wishlist or a vault card), it goes wherever you send it, and the app or person you send it to handles it under their own terms.
Other people’s information
When you add details about other people, such as your children, partner, family or friends, you confirm that you are allowed to keep that information and that you will use it only for your own household and personal use.
Creator studio
Creator studio helps you plan content and track brand deals. You are responsible for what you post and for your agreements with brands, including following the law and each platform’s rules. In the US, that includes clearly disclosing paid partnerships, gifts and affiliate links (for example, with #ad). Holdwell is not affiliated with any social media platform or brand.
Membership and billing
Some or all of Holdwell may require a paid subscription, which may include a free trial. If you subscribe, you do so through Apple (or Google), and their payment terms apply. Your subscription renews automatically unless you cancel at least 24 hours before the end of the trial or the current period. You can cancel any time in your device’s subscription settings. Deleting the app does not cancel your subscription. Refunds are handled by Apple or Google under their policies. If we change our prices, we will tell you ahead of time, and the change will apply at your next renewal.
Using Holdwell fairly
We give you a personal, non-transferable, revocable license to use Holdwell on devices you own or control, for your own non-commercial use. Please don’t copy, resell, reverse engineer, or interfere with Holdwell, or use it to break the law or harm anyone. Holdwell’s design, words (including our daily quotes), artwork and software belong to us and are protected by law.
Other companies’ services
Holdwell works with services from other companies, like Apple (the App Store, Calendar, Face ID and notifications), Google, and RevenueCat (which processes subscription status). Their own terms and privacy policies apply to them, and we are not responsible for them.
No promises beyond these Terms
Holdwell is provided "as is" and "as available." To the fullest extent the law allows, we make no warranties of any kind, express or implied, including that Holdwell will be accurate, uninterrupted, error-free or fit for a particular purpose, or that your information will never be lost.
Limits on our responsibility
To the fullest extent the law allows, Holdwell LLC and its owners, employees and partners will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any lost data, missed events, missed payments or lost profits, arising from your use of Holdwell, even if we were told they might happen.
To the fullest extent the law allows, our total liability for any claim about Holdwell is limited to the greater of the amount you paid us for Holdwell in the 12 months before the claim, or $50.
Some places don’t allow some of these limits, so they may not all apply to you. Nothing in these Terms limits any right you have that cannot be limited by law.
If someone makes a claim because of how you used Holdwell
You agree to defend and hold harmless Holdwell LLC from claims, losses and costs (including reasonable lawyers’ fees) that come from your breaking these Terms or the law, or from content you create or share using Holdwell.
Settling disagreements
If you have a concern, please email us first at hello@joinholdwell.com. Most things can be sorted out quickly that way, and we’ll try in good faith for 60 days.
If we can’t resolve it, you and Holdwell LLC agree to resolve any dispute through final, binding arbitration on an individual basis, administered by the American Arbitration Association under its Consumer Arbitration Rules, instead of in court. Either of us may instead bring an individual claim in small claims court. You and we each give up the right to a jury trial and to take part in a class action or class arbitration.
You can opt out of arbitration by emailing hello@joinholdwell.com within 30 days of first accepting these Terms, with your name and a clear statement that you want to opt out.
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules. Any court case allowed under these Terms will be brought in the state or federal courts located in Orange County, Florida.
Apple’s terms
If you downloaded Holdwell from the App Store: these Terms are between you and us, not Apple. Apple is not responsible for Holdwell or its content, has no obligation to provide maintenance or support for it, and is not responsible for any claims relating to Holdwell (including product liability, legal or regulatory compliance, or intellectual property claims). If Holdwell fails to meet any warranty that applies, you may notify Apple, and Apple will refund the purchase price, if any; Apple has no other warranty obligation. You confirm that you are not located in a country subject to a US government embargo or on any US government list of restricted parties. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
Changes and ending
We may update these Terms. If a change is important, we’ll let you know in the app before it takes effect. Continuing to use Holdwell after that means you accept the new Terms. You can stop using Holdwell at any time. We may suspend or end your access if you seriously or repeatedly break these Terms. If any part of these Terms can’t be enforced, the rest still applies.
